NEED INFOTECH shall not be liable for any consequential, incidental damage or loss of profits or royalties arising out of any services provided by us. SEARCH ENGINE OPTIMIZATION SERVICES

The client agrees that Search Engine Optimization services provided by NEED INFOTECH is a service dependent on third party (search engines) selection procedures and algorithms and the “guarantee” offered by NEED INFOTECH for search engine rankings is limited to a guarantee of on-page and off-page search engine optimization services which may or may not result in confirmed search engine rankings. NEED INFOTECH agrees that in case such ranking does not appear within the stipulated time frame, NEED INFOTECH will forego the remaining contractual compensation from the client. The advance or any milestone payment paid by the client however will not be refundable as hundreds of man-hours of resource allocation goes into on-page and off-page optimization and offer higher development standards to the client’s website as a resultant by-product.

ACCEPTANCE OF DELIVERABLES

Client shall execute a written approval (including email) upon completion of each of the deliverables identified in the System Specifications. NEED INFOTECH shall rely on such written approval as Client’s acceptance of such deliverable, including, but not limiting to, acceptance of its design, content, layout, color, format, navigation, and functionality. Any modifications to the deliverable(s) after execution of the written approval by Client shall be subjected to additional billing based on rates offered by NEED INFOTECH.

WEB SITE DEVELOPMENT INVESTMENT

Client agrees to pay the total sum of money as per our latest proposal to you for development of the Web Site/SEO/Project or mobile Application development. Applicable taxes would be extra unless specified in the latest proposal to the client. The advance or any milestone payment paid to NEED INFOTECH by the client shall not be refundable even if the client refuses to continue with this agreement at any stage.

Payment

Client will have to pay upfront payment before starting their project. The advances paid and milestone/stage completion based payments are non-refundable in all circumstances. All invoices shall be paid by Client within seven (7) days of receipt.

TERM

This Agreement shall be effective from the Date of accepting of this Agreement and shall continue in effect until complete payment of the Development Price or until earlier terminated as provided in this Agreement or until the contracted services have been completed.

TERMINATION

This Agreement may be terminated by either party upon written notice to the other, if the other party breaches any material obligation provided hereunder and the breaching party fails to cure such breach within thirty (30) days of receipt of the notice. Client shall pay NEED INFOTECH for all services rendered and work performed up to the effective date of termination for any reason.

LIMITED WARRANTIES WEBSITE

NEEDINFOTECH shall not be liable for failures caused by third party hardware or software (including Client’s own systems), misuse of the Web Site, malicious hacking, or the negligence or willful misconduct of Client.

INDEMNITY

The User unilaterally agree to indemnify and hold harmless, without objection, the Company, its officers, directors, employees and agents from and against any claims, actions and/or demands and/or liabilities and/or losses and/or damages whatsoever arising from or resulting from their use of www.needinfotech.com or their breach of the terms .

LIABILITY

User agrees that neither Company nor its group companies, directors, officers or employee shall be liable for any direct or/and indirect or/and incidental or/and special or/and consequential or/and exemplary damages, resulting from the use or/and the inability to use the service or/and for cost of procurement of substitute goods or/and services or resulting from any goods or/and data or/and information or/and services purchased or/and obtained or/and messages received or/and transactions entered into through or/and from the service or/and resulting from unauthorized access to or/and alteration of user’s transmissions or/and data or/and arising from any other matter relating to the service, including but not limited to, damages for loss of profits or/and use or/and data or other intangible, even if Company has been advised of the possibility of such damages. User further agrees that Company shall not be liable for any damages arising from interruption, suspension or termination of service, including but not limited to director/sand indirect or/and incidental or/and special consequential or/and exemplary damages, whether such interruption or/and suspension or/and termination was justified or not, negligent or intentional, inadvertent or advertent. User agrees that Company shall not be responsible or liable to user, or anyone, for the statements or conduct of any third party of the service. In sum, in no event shall Company’s total liability to the User for all damages or/and losses or/and causes of action exceed the amount paid by the User to Company, if any, that is related to the cause of action.
